Article 1: Introduction and Preamble

  1. Binding Agreement: This Agreement defines your rights and obligations as a User regarding the service provided by RABATA ALDAFE finance (WePay). Your access to the Service is conditional upon your acceptance of and compliance with the terms and conditions set forth herein. If you do not agree to any of these terms, you must immediately cease accessing or using the Service.
  2. Right to Amend: WePay is authorized and entitled to amend this Agreement at any time in accordance with directives received from regulatory authorities in the Kingdom of Saudi Arabia. Any amendments will be published on the website or the application and shall become effective from the date of publication.
  3. Interpretations: The terms and phrases contained in this Agreement shall have the meanings assigned to them in the definitions set forth in Article (2) below, regardless of whether they appear in singular, plural, masculine, or feminine form, or are attached to any pronouns.

Article 2: Definitions

Unless the context requires otherwise, the following terms shall have the meanings assigned to them:

Article 3: Representations and Warranties

Your access to the Service constitutes your agreement and representation of the following:

  1. You are at least 18 years of age.
  2. You possess the legal and Sharia-compliant capacity required to register and use the platform.
  3. Acceptance of these Terms and Conditions and the Privacy Policy.
  4. Consent to grant any rights, permissions, or licenses required by the platform.
  5. All provided registration information is true, accurate, current, and complete.
  6. Use of the platform is for your personal account only and not on behalf of any other entity.
  7. Your use of the platform is not intended to harm any other party.
  8. You shall not violate Sharia, regulations, laws, or valid instructions in Saudi Arabia.
  9. You shall not use the platform for any fraudulent, illegal, or unauthorized projects.
  10. You shall not exploit the platform to cause damage, including disrupting the application or website.
  11. You are not subject to any sanctions and are not listed on any prohibited parties list.
  12. Exclusive jurisdiction for litigation is the competent judicial authorities in the Kingdom of Saudi Arabia.

Article 4: Scope of Service and Limits of Liability

  1. Nature of Service: WePay acts as an Escrow Account to facilitate sales between Sellers and Buyers under specific controls and at their own responsibility.
  2. Disbursement: Due amounts shall be transferred to the beneficiary's account within 7 business days start from the requesting release of the payment of payment transfer.
  3. Intermediary Role: WePay’s role is limited to connecting parties and withholding the transaction amount in a dedicated account until completion. Responsibility is strictly limited to the service provided, without warranties regarding third parties.
  4. No Liability: WePay shall not be liable for any risks, damages, or losses incurred by any party.
  5. Reporting Damage: In case of damage resulting from non-compliance, you may notify us via the "Dispute" feature.
  6. Legal Waiver: WePay is exempt from all legal claims and damages arising from disputes between parties. This constitutes an express waiver of any legal protections otherwise available to you to the maximum extent permitted by law.
  7. Off-Platform Payments: WePay is not responsible for any payments made outside the platform.

Article 5: Prohibited Transactions

Users are prohibited from dealing in items that are Sharia-prohibited, illegal, or unauthorized. These include, but are not limited to:

  1. Anything involving illegal elements or violating public morals.
  2. Firearms and ammunition (even if licensed).
  3. Copyright-infringing products (pirated software, copied books, etc.).
  4. Illegal drugs, intoxicants, tobacco, and e-cigarettes.
  5. Medications and medical products unless from an authorized entity.
  6. Banking-related products (loans, financing, credit cards).
  7. Spying devices, lasers, signal jammers, or signal boosters.
  8. Transactions with entities are prohibited locally or internationally.

Article 6: Seller Obligations

  1. Create a "Seller" transaction with bank details or e-wallets within Saudi Arabia belonging exclusively to the Seller.
  2. Ensure proper packaging according to safety and health standards in KSA.
  3. Assume full responsibility for product defects and warranties.
  4. Respect Intellectual Property (IP) rights.
  5. Deliver the product/service exactly as described and within the agreed timeframe.
  6. In case of cancellation by the Seller, funds will be returned to the Buyer after deducting WePay’s commission.
  7. Cooperate fully with the Dispute Resolution team.

Article 7: Buyer Obligations

  1. Create a "Buyer" transaction with payment methods within Saudi Arabia belonging exclusively to the Buyer.
  2. Provide an accurate delivery address.
  3. Confirm receipt within the specified timeframe.
  4. 48-Hour maximum Inspection: Adhere to the 48-hour maximum inspection period from the date of receipt.
  5. Automatic Acceptance: If the 48-hour period expires without the Buyer accepting or rejecting the product, it shall be deemed Automatic Acceptance, and funds will be released to the Seller without further notice.

Article 8: Dispute to WePay (Dispute Resolution)

  1. Dispute can only be requested after payment has been made.
  2. Requests must be made via the designated icon, including all supporting evidence.
  3. The Dispute Resolution team will contact parties within 48 hours via registered contact methods.
  4. The team's decision is final and binding, resulting in either transaction completion or cancellation (with or without compensation).
  5. Refunds (if applicable) will be processed within 7 business days.
  6. No Post-Acceptance Dispute: The Buyer cannot escalate after accepting the product or after the inspection period expires.
  7. Non-Refundable Commission: WePay’s commission will be deducted in all settlement cases.

Article 9: Fees

Fees of (2.5%) are collected for providing the Escrow Service under the Saudi Arabia regulations 

Article 10: General Provisions

  1. Governing Law: This Agreement is governed by the laws of the Kingdom of Saudi Arabia.
  2. Account Termination: WePay reserves the right to suspend or terminate accounts for violations without notice or compensation.
  3. End of Guarantee: WePay's guarantee ends upon the closing of the transaction or the issuance of a dispute resolution decision.
  4. Communication: All updates and communications will be sent via the contact details registered on the platform.
  5. Language: This Agreement is drafted in Arabic. While an English version is provided and carries the same legal weight, the Arabic version shall prevail in case of any interpretational discrepancy.
